1. Acceptance of Terms
By accessing or using the Cram platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Cram provides a client portal platform designed for accounting firms. The Service includes tools for file management, client messaging, document requests, and task tracking. Features vary by subscription plan. We reserve the right to modify, add, or remove features at any time, and will notify existing subscribers of material changes.
3. Account Registration
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the accuracy of your account information and keeping it up to date
- Maintaining the security and confidentiality of your account credentials
- All activity that occurs under your account, whether or not authorized by you
- Notifying us immediately at legal@clientbook.ca if you suspect unauthorized access to your account
4. Subscription and Billing
Cram offers paid subscription plans billed on a monthly or annual basis via Stripe. Current pricing is listed at clientbook.ca/pricing.
- New accounts receive a 14-day free trial with no credit card required
- After the trial period, a valid payment method is required to continue using the Service
- Subscriptions automatically renew at the end of each billing period unless cancelled
- You may cancel your subscription at any time from your account settings
- We do not issue refunds for partial billing periods upon cancellation
- We reserve the right to change pricing with 30 days' notice to existing subscribers
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service for any illegal purpose or in violation of any applicable laws or regulations
- Upload, transmit, or distribute malware, viruses, or any other malicious content
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized parties or permit unauthorized users to access the Service
- Use the Service to process data unrelated to your accounting or professional services practice
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Circumvent any access controls or security measures we have implemented
Violations of this section may result in immediate suspension or termination of your account.
6. Client Data
You retain full ownership of all data you upload to or create within the Service ("Client Data"). We process Client Data solely to provide the Service to you and do not use it for any other purpose.
You are responsible for:
- Ensuring you have the legal right to upload and process your clients' personal and financial data
- Complying with all applicable privacy laws, including PIPEDA and any applicable provincial privacy legislation, with respect to your clients' data
- Obtaining any necessary consents from your clients prior to uploading their information to the Service
7. Intellectual Property
The Cram name, logo, trademarks, user interface, design, and underlying software are the exclusive property of Cram Inc. and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your active subscription period solely for the purposes described herein.
8. Uptime and Service Level
We target 99.9% monthly uptime for the Cram platform. Planned maintenance windows will be communicated at least 24 hours in advance. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures or force majeure events.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Cram Inc.'s total liability arising out of or related to these Terms or the Service is limited to the fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Termination
You may cancel your account and terminate your use of the Service at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.
We reserve the right to suspend or terminate your account immediately and without prior notice if you materially violate these Terms, including violations of the Acceptable Use provisions. We will make reasonable efforts to notify you of the reason for termination where permitted by law.
Upon termination, your Client Data will be retained for 90 days, after which it will be permanently deleted. You may request an export of your data prior to deletion.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
