Terms of Service

1. Acceptance of Terms

By accessing or using the Cram platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Cram provides a client portal platform designed for accounting firms. The Service includes tools for file management, client messaging, document requests, and task tracking. Features vary by subscription plan. We reserve the right to modify, add, or remove features at any time, and will notify existing subscribers of material changes.

Cram offers paid subscription plans billed on a monthly or annual basis via Stripe. Current pricing is listed at clientbook.ca/pricing.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

You retain full ownership of all data you upload to or create within the Service ("Client Data"). We process Client Data solely to provide the Service to you and do not use it for any other purpose.

7. Intellectual Property

The Cram name, logo, trademarks, user interface, design, and underlying software are the exclusive property of Cram Inc. and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your active subscription period solely for the purposes described herein.

8. Uptime and Service Level

We target 99.9% monthly uptime for the Cram platform. Planned maintenance windows will be communicated at least 24 hours in advance. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Cram Inc.'s total liability arising out of or related to these Terms or the Service is limited to the fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

You may cancel your account and terminate your use of the Service at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.

We reserve the right to suspend or terminate your account immediately and without prior notice if you materially violate these Terms, including violations of the Acceptable Use provisions. We will make reasonable efforts to notify you of the reason for termination where permitted by law.

Upon termination, your Client Data will be retained for 90 days, after which it will be permanently deleted. You may request an export of your data prior to deletion.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
